Terms are structured rather than assumed: the confidentiality period, the survival period for anything treated as a trade secret, whether affiliates and professional advisers are permitted recipients, whether residual knowledge is carved out, and how information must be returned or destroyed at the end. Governing law and jurisdiction are asked once, with a note field for a counterparty who insists on their own. Where either side has an existing agreement in place, the reference is recorded so the new document can supersede or sit alongside it correctly.
