The purpose is described in a dedicated field, since a purpose clause that is too broad is the most common reason an NDA gets rejected in review. Term questions cover the confidentiality period, the survival period for trade secrets and whether the agreement must be governed by a specific law or jurisdiction, which appears only when the counterparty is overseas.
